EPE Terms and Conditions

These Terms and Conditions apply to the EPE website, online store, customer accounts, product searches, vehicle garage features, Automax AI assistant, quotations, orders, deliveries, collections, returns, exchanges, warranties, and any other services provided through or in connection with EPE.

By accessing or using the EPE website, creating an account, placing an order, using Automax AI, requesting fitment assistance, or purchasing goods from us, you agree to be bound by these Terms and Conditions.

If you do not agree to these Terms and Conditions, you must not use the EPE website or services.

If EPE subscribes to any industry body, code of conduct, self-regulatory body, or accreditation body, the relevant details will be made available on request or displayed on the website where applicable.

2. Definitions

In these Terms and Conditions, unless the context indicates otherwise:

“Account” means a registered EPE customer account.

“Automax AI” means the EPE artificial intelligence assistant or chat feature made available on the website to assist customers with product searches, vehicle fitment, order guidance, support, and related queries.

“Business Customer” means a customer purchasing goods for business, resale, workshop, fleet, commercial, or trade purposes.

“Consumer” means a consumer as defined under applicable South African consumer protection laws.

“Customer”, “you” and “your” means any person or entity using the website, creating an account, placing an order, requesting a quote, purchasing goods, or interacting with EPE.

“Goods” or “Products” means automotive parts, accessories, consumables, tools, or any other products supplied by EPE.

“Order” means an order placed by you for goods through the website, by quotation, by email, by telephone, in-store, or through any other channel accepted by EPE.

“Personal Information” has the meaning given to it under the Protection of Personal Information Act, 4 of 2013.

“POPIA” means the Protection of Personal Information Act, 4 of 2013.

“CPA” means the Consumer Protection Act, 68 of 2008.

“ECT Act” means the Electronic Communications and Transactions Act, 25 of 2002.

“Vehicle Information” means information supplied by you or collected through your account relating to a vehicle, including make, model, year, engine, variant, VIN, registration number, fuel type, transmission, body type, and garage vehicle data.

3. Application of These Terms

These Terms apply to all use of the EPE website and to all purchases from EPE, unless EPE agrees otherwise in writing.

If there is a conflict between these Terms and any written agreement signed by EPE and the Customer, the signed written agreement will apply to the extent of the conflict.

These Terms apply together with our Privacy Policy, Returns Policy, Delivery Policy, Warranty Policy, and any other policy displayed on the EPE website from time to time.

Nothing in these Terms is intended to limit or exclude any rights that you may have under applicable law where such limitation or exclusion is not legally permitted.

4. Use of the Website

You may use the EPE website only for lawful purposes and in accordance with these Terms.

You agree that you will not:

- use the website for fraudulent, unlawful, abusive, or harmful purposes;

- interfere with the operation, security, or availability of the website;

- attempt to gain unauthorised access to any EPE system, account, database, server, or customer information;

- scrape, copy, harvest, or extract website data without written permission from EPE;

- misuse Automax AI or any website feature;

- upload malicious code, spam, or harmful content;

- impersonate another person or misrepresent your authority to act for a business;

- use the website in a manner that infringes any intellectual property rights or other rights of EPE or third parties.

EPE may suspend or restrict access to the website, Automax AI, or any account if we reasonably believe that the website is being misused or that these Terms have been breached.

5. Customer Accounts

You may need to create an account to access certain features, place orders, save vehicles, use garage features, view order history, or receive personalised support.

You agree to provide accurate, complete, and up-to-date information when creating or using an account.

You are responsible for keeping your login details confidential. Any activity performed through your account will be treated as activity authorised by you, unless you can show that your account was used without your authority and through no fault of your own.

You must notify EPE immediately if you suspect unauthorised access to your account.

EPE may suspend, disable, or delete an account if:

- the account contains false or misleading information;

- the account is used for unlawful or abusive purposes;

- the account is linked to fraud, payment abuse, or chargebacks;

- the account is used to interfere with EPE systems;

- required by law;

- these Terms are breached.

6. Vehicle Fitment and Product Compatibility

EPE sells automotive parts, where correct fitment is important.

You are responsible for providing accurate Vehicle Information when searching for parts, requesting advice, using Automax AI, placing an order, or asking for fitment confirmation.

Vehicle fitment may depend on many factors, including:

- make;

- model;

- year;

- engine;

- variant;

- body type;

- fuel type;

- transmission;

- VIN;

- production date;

- regional specification;

- previous vehicle modifications;

- supplier catalogue accuracy;

- manufacturer changes or supersessions;

- product availability.

EPE may use TecDoc data, supplier catalogues, product databases, manufacturer information, OE references, aftermarket references, customer-supplied details, VIN information, and Automax AI assistance to help determine compatibility.

Fitment guidance is provided to assist you, but unless EPE expressly confirms fitment in writing for the exact vehicle and exact product, EPE does not guarantee that a product will be suitable for your vehicle.

You must check all products before installation or use. If you are unsure, you should consult a qualified mechanic, technician, or fitment centre before installing the product.

EPE is not responsible for incorrect parts ordered as a result of incomplete, inaccurate, outdated, or incorrect Vehicle Information supplied by you.

7. VIN, Registration, and Garage Vehicle Data

If you provide a VIN, registration number, or garage vehicle information, EPE may use that information to assist with vehicle identification, fitment checks, product searches, support, returns, warranty claims, and customer service.

EPE may not always be able to decode, verify, or match a VIN or registration number accurately.

Vehicle data may be incomplete or may produce more than one possible vehicle match. EPE may ask you for additional information before confirming fitment or completing an order.

You agree that the final responsibility remains with you to check that the selected product is correct before installation or use.

8. Automax AI Assistant

Automax AI is provided to assist customers with product searches, fitment questions, account guidance, order support, and general automotive parts assistance.

Automax AI may use information from the EPE website, product database, fitment data, supplier catalogue data, your account, your saved garage vehicles, your cart, and information you provide in chat.

Automax AI is an assistance tool and does not replace professional mechanical advice, manufacturer instructions, or final physical inspection of a part before installation.

EPE will take reasonable steps to make Automax AI useful and accurate, but AI responses may contain errors, omissions, outdated information, or uncertainty.

You should not rely only on Automax AI for safety-critical, technical, installation, or fitment decisions. Where necessary, confirm with EPE support or a qualified mechanic.

EPE may store and review Automax AI conversations for customer support, quality improvement, security, fraud prevention, and service improvement, in accordance with our Privacy Policy.

9. Product Information, Images, and Descriptions

EPE takes reasonable steps to ensure that product information, prices, images, specifications, availability, and descriptions are accurate.

However, product images may be for illustration only. Packaging, labels, brands, dimensions, colours, references, specifications, and included accessories may differ from the image or description displayed on the website.

OE numbers, part numbers, cross-references, and manufacturer references are provided for identification and comparison purposes only. They do not imply that the product is manufactured by the original vehicle manufacturer unless expressly stated.

You must check product specifications, part numbers, dimensions, and compatibility before installation or use.

EPE may correct any error, inaccuracy, omission, or outdated information on the website at any time without prior notice.

10. Stock Availability

All products displayed on the website are subject to availability.

Stock levels may change without notice and may differ from the website display due to supplier updates, warehouse movement, system delays, damaged stock, cancelled orders, or stock reservation timing.

Placing an order does not guarantee availability until EPE confirms acceptance and dispatch or collection readiness.

If a product is unavailable after you place an order, EPE may:

- cancel the affected item;

- offer a replacement or alternative product;

- place the item on back order, if you agree;

- refund the affected amount;

- cancel and refund the full order, if appropriate.

11. Pricing

All prices are displayed in South African Rand unless otherwise stated.

Prices may include or exclude VAT depending on how they are displayed on the website. Where VAT applies, it will be shown during checkout, on the tax invoice, or as required by law.

Delivery charges, courier fees, handling fees, special order fees, core deposits, and other charges may be added where applicable and will be shown before final checkout where reasonably possible.

EPE may change prices at any time without prior notice.

If a product is listed at an incorrect price due to an error, EPE may cancel the order or contact you to confirm whether you wish to proceed at the correct price. EPE is not obliged to supply a product at an obviously incorrect price.

12. Quotations

A quotation is not an order confirmation unless EPE expressly states otherwise.

Quotations are valid only for the period stated on the quotation. If no period is stated, the quotation is valid for 7 calendar days, unless withdrawn earlier by EPE.

Quoted prices and availability may change due to supplier pricing, exchange rates, stock movement, discontinued products, or errors.

EPE may withdraw or amend a quotation before acceptance.

13. Orders

You may place orders through the EPE website or through any other method accepted by EPE.

Before placing an online order, you will have an opportunity to review the order, correct errors, update quantities, change delivery details, and withdraw from the transaction before final submission.

An order is an offer by you to purchase the selected goods. EPE may accept or reject the order.

An order is accepted only when EPE confirms acceptance, receives payment where required, and/or dispatches the goods or notifies you that the goods are ready for collection.

EPE may reject or cancel an order if:

- the product is unavailable;

- the price or description is incorrect;

- payment is not received or is reversed;

- fraud or misuse is suspected;

- delivery details are incomplete or incorrect;

- fitment information is insufficient;

- the product cannot be legally or practically supplied;

- EPE is unable to fulfil the order for reasons beyond its reasonable control.

14. Payment

Payment must be made using one of the payment methods accepted by EPE.

For online orders, payment is normally required before dispatch or collection unless EPE has approved trade credit terms in writing.

EPE may use third-party payment providers to process payments. You may be required to accept the payment provider’s terms and conditions.

EPE is not responsible for delays or failures caused by banks, payment gateways, card networks, or third-party payment systems.

If payment is declined, reversed, disputed, charged back, or not received, EPE may suspend or cancel the order, withhold delivery, recover goods not yet paid for, or take other lawful steps.

15. Trade Accounts and Credit Terms

EPE may approve credit facilities for Business Customers at its discretion.

Credit terms must be agreed in writing by EPE. Unless otherwise agreed in writing, all amounts are payable immediately.

Where credit terms are approved, payment must be made strictly within the agreed period. Unless EPE agrees otherwise in writing, credit terms may not exceed 30 days from statement or invoice date.

EPE may charge interest on overdue amounts at the maximum rate permitted by applicable law or at such lower rate as EPE may specify.

EPE may suspend credit facilities, place an account on hold, demand immediate payment, or require cash upfront if:

- payment is overdue;

- the Customer exceeds the credit limit;

- the Customer breaches these Terms;

- EPE reasonably believes the Customer may not be able to pay;

- the Customer becomes insolvent, liquidated, placed under business rescue, sequestrated, or subject to similar proceedings.

EPE may require directors, members, trustees, partners, or authorised representatives of a Business Customer to sign suretyships, credit applications, or additional documents before granting credit.

16. Discounts and Promotions

Prices are strictly net unless EPE agrees to a discount in writing or displays a valid promotion.

Discounts, vouchers, coupon codes, loyalty offers, or promotional pricing may be subject to additional terms, expiry dates, stock limits, minimum spend, product exclusions, or customer eligibility rules.

A discount applies only to the product price unless expressly stated otherwise. It does not automatically apply to delivery charges, VAT, insurance, special handling, core deposits, supplier fees, or other charges.

EPE may withdraw, correct, or amend a promotion if there is an error, abuse, fraud, or misuse.

17. Ownership of Goods

Ownership of goods remains with EPE until EPE has received full and cleared payment for those goods and all related charges.

If goods are supplied on credit, ownership remains with EPE until the relevant invoice has been paid in full.

You may not pledge, encumber, dispose of, resell, or transfer unpaid goods except in the ordinary course of business and only where permitted by EPE or applicable law.

Where a Business Customer resells goods before paying EPE in full, the Customer cedes to EPE, as security, its claim against the ultimate purchaser to the extent of amounts owed to EPE.

18. Risk in Goods

Risk in goods passes to you when the goods are delivered to you, collected by you, collected by your representative, or handed to a courier or carrier arranged by you.

Where EPE arranges delivery through a courier, risk will pass in accordance with the delivery method and applicable law, but EPE will assist with reasonable delivery-related claims where appropriate.

If you fail or refuse to accept delivery, risk may pass to you when delivery is tendered, and you may be liable for storage, return, redelivery, and handling costs.

19. Delivery

Delivery options, charges, areas, and estimated delivery times will be displayed on the website or confirmed by EPE.

Delivery dates and times are estimates only and are not guaranteed unless EPE expressly agrees otherwise in writing.

EPE is not liable for delays caused by:

- couriers or carriers;

- incorrect delivery details;

- payment delays;

- supplier delays;

- stock shortages;

- strikes or labour disputes;

- road closures;

- accidents;

- weather;

- public unrest;

- load shedding;

- system failures;

- events beyond EPE’ reasonable control.

EPE may deliver items in separate shipments.

You must ensure that someone authorised is available to receive the delivery. The signature or confirmation of any person accepting delivery at the delivery address may be treated as proof of delivery.

If delivery fails due to incorrect details, absence of an authorised recipient, refusal to accept delivery, or other reasons outside EPE’ control, you may be charged additional delivery, storage, return, or redelivery fees.

20. Collection

Where collection is available, EPE will notify you when the order is ready for collection.

You may be required to provide proof of purchase, identification, order number, or written authorisation if someone else collects on your behalf.

Risk passes to you when the goods are collected by you or your authorised representative.

If goods are not collected within a reasonable time after notification, EPE may charge storage fees, cancel the order, return the goods to stock, or refund you less reasonable costs where permitted by law.

21. Inspection on Delivery or Collection

You must inspect goods as soon as reasonably possible after delivery or collection.

You must notify EPE promptly if:

- the wrong product was supplied;

- the order is incomplete;

- the goods are visibly damaged;

- packaging is damaged;

- there is a shortage;

- the product appears defective;

- the product does not match the order.

Where possible, delivery damage or shortages should be recorded on the delivery note, waybill, courier device, or collection document.

If you sign or accept delivery without noting any issue, this may make it more difficult to prove that the issue existed at delivery.

This clause does not limit any rights you may have under the CPA or other applicable law.

22. Returns and Exchanges

EPE’ returns and exchanges are subject to applicable law, these Terms, and our Returns Policy.

You must provide proof of purchase when requesting a return, exchange, refund, or warranty claim.

Goods must generally be returned in original packaging, unused, undamaged, complete with all accessories, manuals, labels, seals, and documentation, unless the goods are defective or another legal right applies.

EPE may refuse a return where goods have been:

- installed;

- used;

- damaged;

- altered;

- painted;

- modified;

- stripped;

- contaminated;

- incorrectly handled;

- fitted incorrectly;

- returned incomplete;

- returned without proof of purchase;

- specially ordered or imported for you;

- supplied correctly but no longer in resaleable condition.

Where EPE accepts a discretionary return of correctly supplied goods, EPE may charge a reasonable handling or restocking fee, which may be up to 10% of the invoice price, unless applicable law provides otherwise.

Electrical, electronic, fuel system, lubricated, safety-critical, special-order, imported, opened, or fitted parts may be subject to stricter return conditions unless defective or incorrectly supplied.

Refunds will be processed using a method chosen by EPE, usually the original payment method where practical.

23. Incorrectly Supplied Goods

If EPE supplies the wrong product due to an error by EPE, you must notify us as soon as reasonably possible and return the product unused, uninstalled, complete, and in its original packaging where possible.

If EPE confirms that the wrong product was supplied by EPE, we may, at our election and subject to applicable law:

- replace the product;

- exchange the product;

- refund the product;

- arrange collection or return shipping;

- credit your account.

EPE is not responsible for incorrect products ordered as a result of incorrect or incomplete information supplied by you.

24. Defective Goods and Warranty Claims

Products may be covered by manufacturer warranties, supplier warranties, EPE warranty terms, or rights under applicable consumer law.

Warranty periods and conditions may differ by product, brand, supplier, manufacturer, and product category.

To submit a warranty claim, you may be required to provide:

- proof of purchase;

- product details;

- photographs;

- installation details;

- vehicle details;

- VIN where relevant;

- mileage at installation and failure;

- proof of fitment by a qualified person where applicable;

- diagnostic reports;

- the defective product for inspection;

- any other information reasonably required by EPE or the manufacturer.

Warranty claims may be refused where failure was caused by:

- incorrect installation;

- incorrect part selection;

- misuse;

- abuse;

- neglect;

- accident damage;

- racing or abnormal use;

- contamination;

- lack of maintenance;

- unauthorised modification;

- incorrect fluids or consumables;

- electrical faults;

- incorrect vehicle information;

- wear and tear;

- failure of another component;

- use outside manufacturer specifications.

EPE’ liability for warranty claims is limited, to the extent permitted by law, to repair, replacement, refund, or credit of the defective product.

EPE is not liable for labour charges, towing, storage, downtime, loss of profit, diagnostic charges, consequential loss, or related costs unless required by applicable law or expressly agreed in writing by EPE.

25. Manufacturer Specifications and Advice

EPE may provide recommendations, part numbers, OE references, diagrams, images, specifications, technical information, fitment notes, installation guidance, or other information.

Such information is provided for assistance only and may be approximate, incomplete, outdated, or subject to manufacturer changes.

You must verify product suitability before installation or use.

Unless expressly confirmed in writing by EPE, any advice or information provided by EPE, its staff, Automax AI, suppliers, or the website does not form a separate warranty or guarantee.

26. Core Deposits, Exchange Units, and Returnable Items

Certain products may require a core deposit, exchange unit, surcharge, or return of an old part.

Where a core deposit applies, EPE may withhold the deposit until the old unit is returned and accepted by EPE or the supplier.

Returned core units must be complete, genuine, drained where applicable, not stripped, not broken beyond acceptable condition, and returned within the required period.

EPE or the supplier may reject a core return if it does not meet the required condition.

Returnable crates, containers, pallets, or packaging remain the property of EPE or the supplier unless otherwise agreed in writing. You must return them in good condition when required.

27. Product Installation

Unless EPE expressly agrees otherwise in writing, products are sold for installation by the Customer or by a third-party mechanic, technician, workshop, or fitment centre.

EPE is not responsible for installation unless EPE directly performs or arranges the installation under a separate written agreement.

You must ensure that products are installed correctly and in accordance with manufacturer specifications, safety standards, and professional practice.

Improper installation may void warranties and may cause damage to the product, vehicle, or other components.

28. Limitation of Liability

To the maximum extent permitted by law, EPE will not be liable for:

- indirect loss;

- consequential loss;

- loss of profit;

- loss of revenue;

- loss of business;

- downtime;

- loss of use of a vehicle;

- towing costs;

- storage costs;

- labour costs;

- diagnostic costs;

- damage caused by incorrect installation;

- damage caused by incorrect product selection where incorrect information was supplied by you;

- losses caused by third-party couriers, suppliers, manufacturers, payment providers, or service providers;

- losses caused by events beyond EPE’ reasonable control.

Where EPE is liable and the law allows a limitation, EPE’ liability will be limited to the purchase price of the affected product or to repair, replacement, refund, or credit of that product.

Nothing in these Terms limits or excludes liability where such limitation or exclusion is not permitted by law.

29. Indemnity

You indemnify EPE, its directors, employees, contractors, service providers, and suppliers against claims, losses, damages, costs, and expenses arising from:

- your breach of these Terms;

- your misuse of the website;

- inaccurate information supplied by you;

- incorrect Vehicle Information supplied by you;

- unauthorised use of your account caused by your failure to protect login details;

- improper installation or use of products;

- resale or supply of products to third parties;

- unlawful or fraudulent conduct by you.

This indemnity applies only to the extent permitted by applicable law.

30. Force Majeure

EPE will not be liable for delay or failure to perform any obligation where the delay or failure is caused by events beyond EPE’ reasonable control.

These events may include:

- supplier delays;

- stock shortages;

- transport delays;

- strikes;

- lockouts;

- labour disputes;

- accidents;

- fire;

- flood;

- severe weather;

- riots;

- civil unrest;

- government action;

- import delays;

- customs delays;

- power failures;

- load shedding;

- internet failures;

- system outages;

- cyber incidents;

- pandemics;

- war;

- natural disasters;

- any other cause beyond EPE’ reasonable control.

EPE’ obligations will be suspended for the duration of the event.

31. Default and Breach

If you breach these Terms, fail to pay any amount due, provide false information, abuse the website, commit fraud, or fail to comply with any agreement with EPE, EPE may, without limiting any other rights:

- demand immediate payment of all amounts owing;

- suspend your account;

- cancel outstanding orders;

- suspend delivery or collection;

- withdraw credit facilities;

- refuse further supply;

- recover unpaid goods where ownership has not passed;

- charge interest on overdue amounts;

- recover legal and collection costs where permitted by law;

- take legal action.

If a Business Customer is liquidated, sequestrated, placed under business rescue, placed under administration, becomes insolvent, stops trading, compromises with creditors, changes control, or has a judgment recorded against it, EPE may demand immediate payment and cancel or suspend any agreement.

32. Set-Off

To the extent permitted by law, EPE may set off any amount owed by EPE to you against any amount owed by you to EPE.

You may not withhold payment or set off amounts allegedly owed by EPE unless EPE agrees in writing or a court or competent authority has finally determined the amount.

33. Legal Costs

If EPE takes steps to recover overdue amounts or enforce these Terms, you may be liable for reasonable legal costs, collection costs, tracing costs, and related expenses, to the extent permitted by law.

A certificate signed by a director, manager, accountant, or authorised representative of EPE stating the amount owing by you to EPE will be prima facie evidence of the amount owed, unless proven otherwise.

34. Domicilium and Notices

You choose the address, email address, and contact details provided in your account, order, credit application, or customer records as your chosen address for notices and legal communications.

You must keep your contact details updated.

EPE may send notices by email, SMS, WhatsApp, courier, registered post, hand delivery, account notification, or website notice, depending on the circumstances and applicable law.

35. Intellectual Property

All rights in the EPE website, logo, branding, trade names, text, product data, images, software, databases, design, layout, graphics, videos, Automax AI interface, and other website content belong to EPE or its licensors.

You may view, print, or save website content only for personal, lawful, non-commercial use or for legitimate purchasing purposes.

You may not copy, reproduce, modify, distribute, scrape, sell, reverse engineer, or commercially exploit any EPE content without written permission.

Unauthorised use may result in legal action.

36. Third-Party Links and Services

The EPE website may link to third-party websites, payment gateways, courier tracking pages, supplier websites, social media platforms, or other external services.

EPE does not control third-party websites or services and is not responsible for their content, privacy practices, security, availability, or terms.

You use third-party websites and services at your own risk.

37. Privacy

EPE processes Personal Information in accordance with its Privacy Policy and applicable data protection law.

By using the website, creating an account, placing an order, saving vehicle details, or using Automax AI, you acknowledge that EPE may process your Personal Information as described in the Privacy Policy.

You must not submit another person’s Personal Information to EPE unless you have the right or permission to do so.

38. Electronic Communications

By using the EPE website, creating an account, placing an order, or contacting EPE electronically, you agree to receive communications from EPE electronically.

Electronic communications may include:

- order confirmations;

- invoices;

- payment notices;

- delivery updates;

- account notices;

- support responses;

- warranty communications;

- marketing communications where permitted;

- changes to terms or policies.

Electronic communications satisfy any legal requirement that communications be in writing, to the extent permitted by law.

39. Online Transaction Records

EPE may keep electronic records of orders, payments, communications, invoices, delivery details, account activity, Automax AI conversations, and related transaction information.

You should keep copies of your order confirmations, invoices, payment confirmations, and delivery documents.

EPE may provide copies of transaction records where reasonably possible and where required by law.

40. Changes to These Terms

EPE may update these Terms from time to time.

Updated Terms will be posted on the EPE website and will apply from the date of publication, unless otherwise stated.

The Terms that apply to a specific order will generally be the Terms in force when the order is placed, unless a change is required by law or agreed by you.

If you continue using the website after updated Terms are posted, you accept the updated Terms.

41. Non-Variation

No variation, amendment, waiver, or cancellation of these Terms will be binding on EPE unless recorded in writing and accepted by an authorised representative of EPE.

No employee, salesperson, support agent, AI assistant, contractor, or representative has authority to vary these Terms or make binding guarantees unless EPE confirms this in writing.

No indulgence, extension of time, relaxation, or failure by EPE to enforce any right will be treated as a waiver of that right.

42. Severability

Each clause of these Terms is separate and independent.

45. Jurisdiction

You agree that EPE may, at its election, institute legal proceedings in any court having jurisdiction.
